Public Agreement (Terms and Conditions)

This document is a public agreement (offer) in accordance with Articles 633, 638, 641, 642 of the Civil Code of Ukraine and Article 11 of the Law of Ukraine "On Electronic Commerce". It defines the procedure for purchasing goods in the "Ionum" online bookstore (hereinafter - the "Online Store", "Seller"), which is a part of the Andronum Publishing Union.
This Agreement is public - its terms are the same for all Buyers, regardless of their status (individual, legal entity, sole proprietor), without granting preference to one Buyer over another. By entering into this Agreement, the Buyer fully accepts all its terms.
1. Definitions
1.1. Public Offer (Offer) - a public proposal by the Seller, addressed to an indefinite circle of persons, to enter into a contract of sale of goods remotely with the Seller on the terms contained in this Offer.
1.2. Acceptance - the full and unconditional acceptance by the Buyer of all the terms of this Agreement.
1.3. Online Store - the Seller's website at ionum.com.ua, created for the presentation of goods, providing information about them, and placing orders by Buyers.
1.4. Seller - Andronum Publishing Union (EDRPOU code: ________________, location: Observatorna St., 23, office 19, Kyiv, 04053), which sells the goods presented in the Online Store.
1.5. Buyer - a legally capable individual who has reached the age of 18, a sole proprietor, or a legal entity that has fully accepted the terms of this Agreement and places an order for the purchase of goods in the Online Store.
1.6. Goods - books and other printed publications, e-books, audiobooks, and related products presented in the Online Store with their name, price, description, and characteristics.
1.7. Order - a duly completed request by the Buyer for the purchase of Goods, containing a list of selected items, their quantity, cost, payment method, and delivery method.
2. General Provisions
2.1. This Agreement governs the relations between the Seller and the Buyer during the purchase of Goods in the Online Store by remote means.
2.2. The information about the Goods, their prices, payment and delivery terms, posted on the Online Store's website, is an integral part of this Agreement.
2.3. The Seller has the right to make changes to this Agreement by publishing an updated version on the Online Store's website. Changes take effect from the moment of their publication, unless otherwise specified by the Seller.
2.4. In case of disagreement with the terms of the Agreement, the Buyer is obliged to stop using the Online Store. Continued use of the website after changes are made constitutes the Buyer's consent to the updated terms.
3. Subject of the Agreement
3.1. The Seller undertakes to transfer the Goods into the Buyer's ownership, and the Buyer undertakes to pay for and accept the Goods on the terms of this Agreement.
3.2. The ownership of the Goods transfers to the Buyer from the moment of actual transfer of the Goods and signing of the relevant documents (waybill, sales receipt, etc.) or, in the case of digital goods, from the moment of granting access to them.
4. Order Procedure
4.1. The Order is placed by the Buyer independently on the Online Store's website by adding selected Goods to the cart, filling out the registration form with the necessary contact details, and confirming the Order.
4.2. The Buyer is responsible for the accuracy of the information provided when placing the Order.
4.3. The Seller reserves the right not to accept an Order or to cancel it in case of unavailability of the Goods in stock, technical errors in pricing or description of the Goods, as well as in cases provided for by law. The Seller notifies the Buyer of the cancellation via the contact details provided when placing the Order.
5. Moment of Conclusion of the Agreement (Acceptance of the Offer)
5.1. The Agreement is considered concluded (acceptance of the offer has occurred) from the moment of:
- the Buyer clicking the "Place Order" ("Confirm Order") button on the order placement page; OR
- the Buyer making payment for the Order.
5.2. From the moment of acceptance of the offer, the terms of the Agreement are binding on both parties.
6. Price of Goods and Payment Procedure
6.1. The price for each Good is indicated in the Online Store in hryvnias (UAH) and includes all taxes and fees provided for by the current legislation of Ukraine.
6.2. The Seller has the right to change prices for Goods unilaterally. The price fixed at the time of placing the Order is final and not subject to change.
6.3. Payment for the Goods is made by the methods specified on the Online Store's website in the "Payment and Delivery" section, including:
- online payment by bank card (Visa / Mastercard);
- cash on delivery (payment upon receipt) - taking into account the carrier's commission;
- non-cash payment for legal entities;
- cash upon pickup.
6.4. The Buyer's obligation to pay for the Goods is considered fulfilled from the moment funds are credited to the Seller's account (for non-cash payments) or receipt of cash (for cash payments).
7. Delivery of Goods
7.1. Delivery of the Goods is carried out by the methods and within the terms specified in the "Payment and Delivery" section on the Online Store's website.
7.2. The Seller dispatches the Order within 1-3 business days from the moment of payment confirmation (for paper books) or provides access to the digital Goods immediately after payment.
7.3. Ownership of the Goods and the risk of accidental destruction or damage to the Goods transfer to the Buyer at the moment of transferring the Goods to the carrier (for delivery) or at the moment the Buyer receives the Goods (for pickup).
7.4. The Seller is not liable for violation of delivery terms due to the carrier's fault.
8. Rights and Obligations of the Parties
8.1. The Seller undertakes to:
- transfer to the Buyer the Goods of proper quality in accordance with the Order;
- provide the Buyer with complete and accurate information about the Goods;
- ensure the confidentiality of the Buyer's personal data;
- fulfill other obligations provided for by this Agreement and the current legislation of Ukraine.
8.2. The Seller has the right to:
- make changes to this Agreement in the manner specified in clause 2.3;
- suspend the operation of the Online Store for technical maintenance;
- refuse to enter into an Agreement with the Buyer in cases provided for by law.
8.3. The Buyer undertakes to:
- timely pay for the Goods on the terms of this Agreement;
- provide accurate information when placing an Order;
- accept the Goods of proper quality;
- fulfill other obligations provided for by this Agreement.
8.4. The Buyer has the right to:
- receive complete and accurate information about the Goods;
- refuse the Goods in the manner and on the terms determined by the legislation of Ukraine;
- demand replacement of Goods of improper quality or refund of funds in cases provided for by law.
9. Return of Goods
9.1. The Buyer has the right to return Goods of proper quality within 14 days from the moment of receipt, provided that the commercial appearance, consumer properties, seals, labels, as well as the settlement document issued to the Buyer together with the Goods are preserved, in accordance with the Law of Ukraine "On Consumer Protection".
9.2. The return of Goods of proper quality is carried out at the Buyer's expense.
9.3. In the case of receiving Goods of improper quality (printing defects, damage during transportation, etc.), the Buyer has the right to return or exchange the Goods at the Seller's expense.
9.4. To arrange a return, the Buyer must contact the Seller using the contacts specified in Section 16 of this Agreement.
9.5. Refunds are made in the same manner as the payment was made, within 14 calendar days from the moment the Seller receives the returned Goods.
10. Liability of the Parties
10.1. For non-performance or improper performance of the terms of this Agreement, the parties shall be liable in accordance with the current legislation of Ukraine.
10.2. The Seller is not liable for:
- actions of third parties (carriers, payment systems, etc.);
- delays or interruptions in the operation of the Online Store that occurred for reasons beyond the Seller's control;
- the Buyer's use of information received from the Online Store for their own purposes.
10.3. The Seller does not compensate the Buyer for moral damage, lost profits, or other indirect damages caused in connection with the use or inability to use the Online Store.
11. Force Majeure Circumstances
11.1. The parties are released from liability for non-fulfillment of obligations under this Agreement in the event of force majeure circumstances (force majeure), such as: war, natural disasters, fires, floods, earthquakes, epidemics, strikes, terrorist acts, adoption of regulatory legal acts that make it impossible to fulfill obligations, and other circumstances that the party could not foresee or prevent.
11.2. The party that cannot fulfill its obligations due to force majeure circumstances is obliged to notify the other party within 5 business days from the moment of their occurrence.
11.3. The term for fulfilling obligations is extended for the duration of the force majeure circumstances.
12. Confidentiality and Personal Data Protection
12.1. The Buyer's personal data is processed by the Seller in accordance with the Privacy Policy posted on the Online Store's website and the Law of Ukraine "On Personal Data Protection".
12.2. The Seller undertakes not to disclose the Buyer's personal data to third parties, except in cases provided for by the legislation of Ukraine or necessary for the fulfillment of the Order (transfer of data to carriers, payment systems, etc.).
12.3. Registration on the website and placing an Order constitutes the Buyer's consent to the processing of their personal data for the purpose of fulfilling this Agreement.
13. Intellectual Property
13.1. All materials posted on the Online Store's website (texts, images, graphics, design, logos, software code, etc.) are objects of intellectual property of the Seller or third parties and are protected by the intellectual property legislation of Ukraine.
13.2. The Buyer has no right to copy, reproduce, distribute, modify, or use any materials from the website without the Seller's written consent.
14. Dispute Resolution
14.1. All disputes and disagreements arising from this Agreement or in connection with it shall be resolved through negotiations between the parties.
14.2. In the event of failure to reach agreement, the dispute shall be resolved in court in accordance with the current legislation of Ukraine at the Seller's location.
15. Final Provisions
15.1. This Agreement enters into force from the moment of its acceptance by the Buyer and is valid until the parties fully fulfill their obligations.
15.2. The invalidity of individual provisions of this Agreement does not entail the invalidity of the Agreement as a whole.
15.3. The parties confirm that they understand the meaning and legal consequences of this Agreement and conclude it voluntarily.
